These Terms & Conditions (“Agreement”) govern all purchases of products (“Products”) or services (“Services”) from Magic Line Solutions (“we”, “us”, “our”) by the customer (“you”, “Customer”). By placing an order, making a payment, or otherwise accepting delivery of Products/Services, you agree to be bound by this Agreement, unless you and Magic Line Solutions have executed a separate written agreement signed by both parties — in which case the separate agreement governs.
1. Order of Precedence / Scope
- The only terms and conditions that apply to any sale are those contained in this Agreement. Any additional or different terms submitted by you (e.g. in a purchase order) are hereby rejected and have no effect unless separately agreed to in writing by an authorized representative of Magic Line Solutions.
- Unless otherwise expressly agreed in writing, this Agreement and the relevant order constitute the entire agreement between the parties with respect to the subject matter and supersede all prior or contemporaneous discussions, proposals, or communications.
2. Customer Responsibilities & Assumptions
Depending on the Product or Service ordered (especially if you purchase specialty printers, printing equipment, or related accessories), the following customer responsibilities apply:
- You must maintain an appropriate work environment (e.g., proper temperature, humidity, cleanliness), and follow all required maintenance, operational, safety, and usage guidelines.
- Consumable parts and supplies (e.g., ink cartridges, powders, films, cleaning solutions, printheads) are subject to wear and tear and are not covered under warranty unless explicitly stated.
- You must inspect any equipment or Product upon receipt. If there is noticeable damage to the packaging or the Product itself — report it immediately (e.g. within a specified timeframe) with photos. Failure to report damage may limit or void claims related to shipping or defects.
- For orders that include onboarding/training (if offered), you must complete the required training before operating the equipment; failure to do so may void warranties.
- Orders for custom items (e.g. printed transfers, custom prints) are final once production begins — you are responsible for the correctness of submitted files, artwork, and content (including legality, rights, spelling, etc.).
3. Payment, Order Cancellation & Returns
- Unless otherwise agreed, full payment is required before shipment. If partial payment / deposit arrangements are allowed, final payment becomes due when the order is ready to ship.
- Orders may not be cancelled once production has started. Cancellation requests prior to production start may be approved at our discretion, possibly subject to a restocking fee (e.g., 15% of order total).
- Returns or refunds are generally not allowed on custom-made items, consumables once opened/used, or specialty equipment — except in cases of manufacturing defects or shipping damage, handled under warranty/defect policy.
- Any approved return or refund may be subject to restocking fees and the customer is responsible for associated shipping costs (return and any subsequent reshipment).
4. Limited Warranty / Warranty Void Conditions
- Magic Line Solutions warrants that Products (equipment, hardware) are free from defects in workmanship and materials under normal use for a limited period (e.g., 180 days from date of purchase), unless otherwise stated.
- Consumable parts, wear & tear items (e.g. printheads, cartridges, films, powders, inks, capping stations) are not covered by the warranty.
- Warranty is valid only if the Product is properly maintained and used strictly in accordance with the provided instructions and guidelines.
- Warranty does not cover damage from misuse, neglect, improper installation or operation, unauthorized modifications or repairs, accidents, improper shipping/handling, environmental damage (e.g. fire, flood), or use with non-approved supplies.
- Warranty claims require return of the product (or defective parts), freight prepaid, to Magic Line Solutions (or its designated repair facility) for inspection/repair. On-site repair is not provided by default.
- If upon inspection the Product is found to be non-defective (e.g. damage caused by customer misuse), you are responsible for all shipping and repair costs.
- Magic Line Solutions’ liability under warranty is limited to repair or replacement (at our discretion) or refund of the purchase price; no other warranties — expressed or implied (merchantability, fitness for a particular purpose, etc.) — are provided.
5. Liability Limitations & Disclaimers
- Magic Line Solutions (and its officers, employees, agents, suppliers) is not liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profit, loss of business, loss of data, downtime) arising from use of Products or Services, even if advised of the possibility of such damages.
- Our total liability for any claim (warranty, breach, negligence, etc.) is capped at the amount you paid for the applicable Product or Service.
- Under no circumstances will Magic Line Solutions be liable for failure to deliver or perform due to events beyond our control (e.g., natural disasters, supply chain disruptions, shipping carriers’ failures, customs delays, force majeure, etc.).
6. Indemnification
You agree to indemnify, defend, and hold harmless Magic Line Solutions — its officers, directors, employees, agents, licensors, and suppliers — from and against all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys’ fees) arising from:
- Your misuse or improper use of Products or Services
- Breach of this Agreement, or violation of any applicable laws or third-party rights (e.g., intellectual property, content submitted for custom work)
- Any negligent or wrongful acts by you or any third party using your account or Products
Magic Line Solutions reserves the right to assume the exclusive defense and control of any claim subject to indemnification, in which case you agree to cooperate.
7. Governing Law, Jurisdiction & Venue
- This Agreement and any dispute arising from it shall be governed by the laws of the State of California, without regard to its conflict-of-law principles.
- Any legal action or arbitration must be brought exclusively in the state and federal courts located in Los Angeles County, CA. By placing an order or using our Products/Services, you consent to the personal jurisdiction and venue of those courts.
- Any cause of action by you must be brought within one (1) year after the cause of action arises (unless prohibited by applicable law).
8. Changes to Terms
- Magic Line Solutions reserves the right to change or modify these Terms & Conditions at any time. Any changes take effect when posted on our website.
- Your continued use of the website, placing of orders, or acceptance of delivery after changes are posted constitutes your acceptance of the updated terms.
9. Use Risk, Safety & Compliance
- Many of our Products (especially printing equipment, inks, powders, chemicals, heat presses, etc.) involve chemical, mechanical, and environmental risks (e.g., fumes, dust, powders, high heat, moving parts). Use of these Products is at your own risk.
- It is your responsibility to ensure that you operate the equipment in a safe, well-ventilated, and compliant manner, using appropriate safety equipment (e.g., PPE, ventilation, protective clothing) whenever necessary.
- Magic Line Solutions is not responsible for any injuries, health risks, or property damage arising from use, misuse, modification, or failure to follow safety instructions.
10. Custom Orders / Customer Content / Intellectual Property
- Custom orders (e.g., custom printed transfers, designs, artwork) are non-cancelable and non-refundable once production begins.
- You represent and warrant that you own or have valid license/rights to use any submitted content (artwork, design, logos, images, text) and that such content does not infringe any third-party rights.
- Magic Line Solutions does not guarantee color matching, exact preview-to-finished-product fidelity, or error-free reproduction. Slight variations in color, quality, and appearance are normal and not considered defects.
- You agree to indemnify Magic Line Solutions against any claims arising from your submitted content (e.g., IP infringement, libel, unlawful content).
11. Severability
If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid one that most closely matches the original intent.
